UTRECHT, 26 October 2011 – Today, Strukton Groep NV (Strukton) and DIF Infrastructure II (DIF) signed an agreement in principle for the transfer of 80% of Strukton’s shareholdings in six PPP projects.
The intended transaction still requires various approvals from financiers, customers and shareholders. Once the required approvals have been obtained, the transaction will be finalised. It is expected that the transaction will be completed before the end of 2011.
The agreement covers the following PPP projects:
- Kromhout Barracks in Utrecht
- Offices for the Education Executive Agency and Regional Tax Office in Groningen
- Montaigne Lyceum in The Hague
- Offices for the Ministry of Finance in The Hague
- The Harnaschpolder/Houtrust wastewater purification system in Den Hoom and Scheveningen
- The Maasvlakte-Vaanplein section of the A15 motorway
These projects represent a total value of approximately €2.3 billion with PPP contracts running for 20 to 28 years post construction completion. Strukton's current commitment to these six projects is €29.5 million, including future commitments to make payments on the subordinated loans. The aim of this transaction is to transfer 80% of the shareholdings in this portfolio to DIF.
The operating company Strukton Integrale Projecten will remain responsible for the day-to-day management of these interests. Because of the continuing Strukton presence, these interests will continue to be recorded on a proportional basis in the consolidated statements, but the (non-recourse) debts will drop from €175.1 million to €58.2 million (as per the six monthly figures for mid 2011).
